These Terms of Service (“Terms”) govern your use and access to this website https://springnotes.app and the Software Application SpringNotes (the “App”) available for desktop and mobile devices operated by Weenaburra2 Pty Ltd (collectively, the “Service”)
Please read these Terms carefully as by accessing or using the Service you become bound by these Terms and your ongoing use of the Service is conditional of your acceptance and compliance to these Terms. If you do not agree to these Terms then you may no longer use or access the Service.
**Who’s Who**
Throughout these Terms, “you” applies to both individuals and entities that access or use the Service. If you are an individual using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to the Agreement and that by using the Service, you are accepting the Agreement on behalf of that entity.

Weenaburra2 Pty Ltd provides the Service as-is and your use of the Service is entirely at your own risk. The Service is provided without warranties of any kind , express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Weenaburra2 Pty Ltd, nor our suppliers and licensors, makes any warranty that our Service will be error free or that access thereto will be continuous or uninterrupted. Weenaburra2 Pty Ltd disclaims any responsibility for any harm resulting from the use of the Service.
You agree to defend, indemnify and hold Weenaburra2 Pty Ltd harmless from and against any and all costs, damages, liabilities, and expenses we incur in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party relating to your use of the Service or the use of the Service by any person using your account, including any claim that your use of the Service violates any applicable law or regulation, or the rights of any third party, and/or your violation of these Terms.

**Jurisdiction and Applicable Law.**
These Terms shall be governed and construed and determined in accordance with the laws of the state of New South Wales Australia, without regard to its conflict of law provisions. The proper venue for any disputes arising out of or relating to the Terms and any access to or use of the Service will be the state and federal courts located in Sydney, New South Wales, Australia.

** Intellectual Property**
The Service does not transfer from Weenaburra2 Pty Ltd to you any Weenaburra2 Pty Ltd or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Weenaburra2. The SpringNotes logo, and all other trademarks, service marks, graphics and logos used in connection with the Service are trademarks or registered trademarks of Weenaburra2 Pty Ltd or Weenaburra2’s licensors. Trademarks, service marks, graphics, and logos used in connection with our Service may be the trademarks of other third parties. Your use of the Service grants you no right or license to reproduce or otherwise use any Weenaburra2 Pty Ltd or third party trademarks.

**Changes to these Terms**
We are constantly updating our Service and that means sometimes we have to change the legal terms under which the Service is offered. These Terms may only be modified by a written amendment signed by an authorised executive of Weenaburra2 Pty Ltd, or by the posting by Weenaburra2 Pty Ltd of a revised version. If we make changes that are material, we will let you know by posting on one of our blogs, before the changes take effect. The notice will designate a reasonable period of time after which the new terms will take effect. If you disagree with our changes, then you should stop using the Service within the designated notice period, or once the changes become effective.
